Frasers Group Takes Majority Control of HUGO BOSS with 50.08% Stake

Frasers Group secures majority ownership of the German fashion house, advancing its strategic push into premium and luxury fashion.

Frasers Group has secured majority control of German fashion brand HUGO BOSS, acquiring a 50.08% stake and advancing a strategy that began earlier this year with an unsuccessful takeover attempt and a subsequent leadership change at the fashion company.

In a stock market filing, Frasers Group disclosed that it acquired 198,666 shares in HUGO BOSS on October 23 for €7.63 million, taking its total shareholding to 50.08% of the company’s share capital.

The development marks a significant step in the UK-based retail group’s efforts to strengthen its position in the global fashion industry. Frasers had previously pursued a takeover of HUGO BOSS earlier this year, coming close to securing a deal before the attempt fell short.

The group’s influence at HUGO BOSS has also expanded at the board level. Michael Murray, chief executive officer of Frasers Group, replaced the German company’s chairman, further strengthening the British retailer’s strategic presence within the business.

HUGO BOSS, known for its premium menswear, womenswear, accessories and fragrances, operates internationally through its BOSS and HUGO brands. Majority ownership by Frasers Group could have important implications for the company’s future strategic direction, although the precise operational and commercial plans following the acquisition have not been detailed in the information disclosed.

For Frasers Group, the acquisition reinforces its ambitions in premium fashion and its broader strategy of expanding its influence across the retail and branded goods sectors. The move also places the relationship between the two companies at a new stage, shifting from a takeover pursuit to majority ownership.

The latest share acquisition represents a key development in the evolving ownership structure of one of Germany’s best-known fashion businesses.
